Terms of Service

1. Agreement to Terms

By accessing or using Marintel ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including workspace administrators, data room participants, and guests.

2. Description of Service

Marintel provides a maritime document management and transaction platform, including data room creation and management, document storage and AI-powered analysis, vessel catalog and valuation services, and related features as described on marintel.co.

3. Account Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@marintel.co of any unauthorised access.

4. Acceptable Use

You agree not to use the Service to upload or share content that is unlawful, fraudulent, or violates any third party's rights; to circumvent, disable, or interfere with security features; to attempt to access any portion of the Service you are not authorised to access; or to use the Service in any manner that could impair or overburden our infrastructure.

5. Document Storage and Processing

When you upload documents to the Service, you grant Marintel a limited licence to store, process, and analyse those documents for the purpose of providing the Service to you. We do not use your transaction documents to train our AI models without your explicit consent. Your documents remain your property.

6. AI Analysis and Accuracy

Marintel's AI document analysis is provided to assist — not replace — professional legal and commercial judgment. Findings surfaced by the AI pipeline are for informational purposes. You are responsible for verifying findings and making your own legal and commercial assessments. Marintel makes no warranty that AI analysis is complete, accurate, or fit for any particular purpose.

7. Valuations

Vessel valuations delivered through the Service are prepared by independent valuers and represent their professional assessment at a point in time. Marintel does not warrant that valuations are accurate, and valuations should not be relied upon as the sole basis for financial decisions.

8. Confidentiality

We treat the contents of your data rooms as confidential and do not access them except to provide the Service, respond to support requests, or as required by law. Our full privacy practices are described in our Privacy Policy at marintel.co/privacy.

9. Intellectual Property

The Service and its original content, features, and functionality are owned by Marintel and are protected by copyright, trademark, and other intellectual property laws. Our AI clause libraries, document classification models, and platform software remain our exclusive property.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Marintel shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to losses arising from reliance on AI analysis findings or document management decisions. Our aggregate liability to you shall not exceed the fees paid by you in the twelve months preceding the claim.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms. You may terminate your account at any time. Upon termination, your data room data will be retained for 90 days to allow for data export, then permanently deleted unless you have a paid archival arrangement.

12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by email or through the Service. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
